1. Applicability.
   1. These terms and conditions (these “Terms”) are between ResMed Corp. (“Service Provider”) and “you” or Customer and govern the provision of ComplianceCoach.
   2. The accompanying order confirmation in the Resmed Online Store (the “ROS Order Confirmation“) and these Terms (collectively, this “Agreement”) comprise the entire agreement between the parties, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral. In the event of any conflict between these Terms and the ROS Order Confirmation, these Terms shall govern.
   3. You acknowledge and agree that: (i) you accept these Terms on behalf of Customers for which you are authorized to act (e.g., an employer) and acknowledge that such entity is legally bound by these Terms (and you agree to act in a manner consistent with these Terms) or, if you are not authorized to act on behalf of such entity, then you accept these Terms either as an Authorized User of such entity and acknowledge that you are legally bound by these Terms; and (ii) you represent and warrant that you have the right, power and authority to act on behalf of and bind Customer.
2. Services. Service Provider shall provide the ComplianceCoach services to Customer as described in the ROS Order Confirmation (the “Services“) in accordance with these Terms. By purchasing ComplianceCoach, Customer agrees to the terms of Resmed Healthcare Informatics Terms of Use, including the Business Associate Agreement; Resmed’s General Terms and Conditions of Sale; and the Resmed Online Store Terms of Use.
3. Customer’s Obligations. Customer shall:
   1. Provide feedback, including but not limited to interviews, telephone calls, and surveys, on a regular basis to Service Provider with regards to Customer’s use of the Services and;
   2. respond promptly to any Service Provider request to provide direction and other information that are reasonably necessary for Service Provider to provide Services in accordance with this Agreement.
4. Customer’s Acts or Omissions. If Service Provider’s performance of its obligations under this Agreement is prevented or delayed by any act or omission of Customer or its agents, subcontractors, consultants, or employees, Service Provider shall not be deemed in breach of its obligations under this Agreement or otherwise liable for any costs, charges, or losses sustained or incurred by Customer, in each case, to the extent arising directly or indirectly from such prevention or delay.
5. Fees and Expenses.
   1. In consideration of the provision of the Services by Service Provider and the rights granted to Customer under this Agreement, Customer agrees to pay $250 per month for a one (1) year term following the ROS Order Confirmation, unless otherwise terminated in accordance with these Terms. Service Provider reserves the right to terminate the Services immediately if Customer does not pay as determined by Service Provider.
6. Entire Agreement; Conflict of Interest. These Terms is the Parties’ entire understanding and supersedes all prior agreements or terms, oral and written, with respect to the subject matter of these Terms. In the event of a conflict, these Terms control.
